Terms of Service

1. Agreement and Business Use
These Terms of Service ("Terms") are an agreement between Escape Director ("Escape Director," "we," "us," or "our") and the person or organization that creates an account, purchases a subscription, or uses the Service (the "Customer," "you," or "your"). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. Escape Director is offered for business and professional use by escape room operators, including sole proprietors. It is not offered for personal, family, or household use. If you accept these Terms for a company or other organization, you represent that you have authority to bind it. If you are a sole proprietor, you agree that you are acquiring and using the Service in your commercial capacity. The person accepting these Terms must be at least 18 years old and legally able to enter into this agreement.
2. The Service
Escape Director is a browser-based platform for designing and preparing escape Rooms, operating live games, presenting player-facing content, recording completed Room Sessions, and reviewing analytics. Available features may include media storage, offline Room preparation, public leaderboards, feedback tools, and an optional AI Analytics Assistant (collectively, the "Service"). We may improve, add, remove, or change features over time. We will not use a material reduction in the core paid Service to avoid obligations already owed for a current prepaid subscription period. Features identified as beta, preview, experimental, or evaluation features may change or be discontinued and may be subject to additional limits.
3. Accounts and Authorized Users
The individuals whom Customer permits to access the Service are "Authorized Users." Customer must provide accurate and current account information, keep it updated, and ensure that Authorized Users comply with these Terms. Each person must use their own account credentials where the Service supports separate accounts. Credentials may not be sold, transferred, or shared with unauthorized people. When creating an account, including through Google sign-in, the person registering must affirmatively agree to these Terms and acknowledge the Privacy Policy before registration begins. Google sign-in is optional. Existing users may use a linked Google account to sign in without creating a new account. Customer is responsible for activity under its accounts, for maintaining appropriate access controls, and for promptly notifying us at support@escapedirector.com of suspected unauthorized access. Customer must not attempt to exceed plan, location, account, or other limits shown at purchase or within the Service.
4. Trials, Subscriptions, and Automatic Renewal
Paid access is offered through monthly or annual subscriptions. The price, billing period, trial length, included features, and any location or usage limits shown at checkout form part of these Terms. Our current standard trial is 30 days and requires a valid payment method unless the offer at checkout states otherwise. Unless you cancel before the trial or current billing period ends, the subscription automatically begins or renews for another period of the same length, and you authorize Stripe to charge the payment method on file for the disclosed subscription price plus applicable taxes. Stripe processes payment-card information under its own terms and privacy policy; Escape Director does not store complete payment-card numbers. You are responsible for keeping billing information current and for all applicable taxes other than taxes based on our net income. If a payment fails, we may retry it, limit paid features, or suspend access after providing any notice required by law. We may change future subscription prices by providing reasonable advance notice; a price change will apply no earlier than the next renewal after the notice period.
5. Cancellation and Refunds
You may cancel through the Stripe billing portal available from account settings or by contacting support. Cancellation prevents the next renewal. Except where the checkout or billing portal states otherwise, a canceled paid subscription remains available through the end of the prepaid billing period. If you cancel a trial before its stated deadline, the first subscription charge will not be made. Subscription charges are generally non-refundable and we do not provide prorated credits for unused time, except where required by law or expressly stated at purchase. If you believe a charge is incorrect or exceptional circumstances apply, contact support@escapedirector.com. Cancellation ends billing; it does not automatically delete your account or Customer Content.
6. Customer Content and Data Responsibilities
"Customer Content" means Rooms, puzzles, clues, messages, media, Game Master Profile names, team names, session information, notes, leaderboard settings, dashboards, and other information or material submitted to the Service by or for Customer. As between the parties, Customer retains its rights in Customer Content. Customer grants Escape Director a non-exclusive, worldwide license to host, copy, process, transmit, display, back up, and technically modify Customer Content only as reasonably necessary to provide, secure, maintain, and support the Service, comply with law, and follow Customer's instructions. This license includes displaying information through a Live View or public leaderboard when Customer activates that feature. It ends when the content is deleted from our systems, subject to reasonable backup cycles and legal-retention requirements. Customer represents that it has the rights and lawful basis necessary to provide Customer Content and instruct us to process it. Customer is responsible for its privacy notices, permissions, and treatment of personnel and player information. Do not enter full payment-card numbers, government identification numbers, protected health information, or other highly sensitive information that the Service is not designed to process.
7. Public Leaderboards and Player-Facing Features
Customer controls whether to publish a leaderboard and which supported information it displays. Public leaderboard links do not require an Escape Director account and may be viewed, copied, shared, cached, or recorded by others. Customer must not use a person's full name or other identifying information as a public team name unless Customer has appropriate authorization. Unpublishing prevents future access through the Service but cannot retrieve copies already made by others. Customer is responsible for reviewing clues, messages, media, and other player-facing material before using it in a live game. Escape Director is a tool for Customer's operation and does not supervise Customer's interactions with players.
8. Privacy and Data Processing
Our Privacy Policy explains how Escape Director handles personal information for account administration, billing, security, analytics, support, and Service operation. When Escape Director processes personal information contained in Customer Content on Customer's behalf, Customer determines the purpose of that processing and Escape Director processes it to provide the Service and follow Customer's lawful instructions. Customer is responsible for determining whether the Service is appropriate for its intended data and whether additional contractual terms are required by law or Customer policy. If the parties enter into a separate Data Processing Addendum, that addendum controls over these Terms for its subject matter.
9. Offline Operation and Customer Devices
Some features prepare Rooms, media, authorization information, Game Master Profile snapshots, and Pending Session Records in browser storage so a designated Room Station can continue operating during a connection interruption. Customer is responsible for securing those devices, maintaining supported browser and storage settings, preventing unauthorized physical access, and reconnecting in time to synchronize pending records. Browser or operating-system cleanup, storage pressure, device failure, or a user clearing site data may remove locally stored information. Offline capability does not guarantee uninterrupted operation under every network, browser, hardware, or storage condition. Customer should test each Room Station and maintain reasonable operational contingencies before running live games.
10. AI Analytics Assistant
The optional AI Analytics Assistant uses governed analytics and third-party model services to generate answers and proposals. AI output may be incomplete, inaccurate, or unsuitable for a particular decision. Customer must review output before relying on it and must not use it as the sole basis for employment, disciplinary, safety, legal, financial, or similarly significant decisions about a person. The AI Analytics Assistant does not provide professional advice and does not automatically change Customer's Rooms, records, or dashboards without the confirmation required by the Service.
11. Acceptable Use
Customer and Authorized Users must not: • Use the Service unlawfully or to violate another person's intellectual property, privacy, publicity, or other rights. • Upload malware, harmful code, illegal material, or content Customer does not have the right to use. • Attempt to access another customer's account, data, or non-public systems. • Bypass access, subscription, security, rate, or usage controls. • Interfere with, disrupt, probe, scan, overload, or test the vulnerability of the Service without written authorization. • Reverse engineer or circumvent the hosted Service except to the limited extent applicable law expressly permits despite this restriction. • Resell, sublicense, or provide the Service as a standalone service bureau without our written permission. • Use the Service to develop or train a competing product through unauthorized automated extraction or bulk access. • Use the Service in a way that creates a material security, legal, or operational risk to Escape Director or others. Restrictions on the hosted Service do not limit rights expressly granted under an open-source license for source code we publish separately.
12. Escape Director Technology and Feedback
Escape Director and its licensors own the Service, software, documentation, designs, trademarks, and other technology, excluding Customer Content. Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the hosted Service for Customer's internal business operations. Source code published separately under an open-source license is governed by that license. No open-source license grants a right to use the Escape Director name, logos, or branding for a fork or competing service. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, provided we do not publicly identify you as the source without permission.
13. Third-Party Services
The Service relies on third-party infrastructure and may link to or interoperate with services such as Stripe, Google, Featurebase, and AI providers. Your use of a third-party service may also be governed by that provider's terms and privacy policy. We are not responsible for third-party services outside our control, but this section does not reduce obligations we expressly undertake for our own use of service providers.
14. Availability, Security, and Support
We use reasonable efforts to operate and secure the Service, but we do not promise uninterrupted or error-free availability, any particular uptime, or that every defect will be corrected. Maintenance, internet failures, third-party outages, emergencies, and events outside our reasonable control may affect availability. Unless a separate signed agreement says otherwise, no service-level agreement applies. Support is provided through the channels and at the priority associated with Customer's plan. Customer is responsible for maintaining its own copies of critical original media and other content where a loss would materially affect its business.
15. Suspension, Termination, and Data After Closure
Customer may stop using the Service at any time, but cancellation and refunds are governed by Section 5. We may suspend or limit access if Customer materially breaches these Terms, fails to pay, creates a security or legal risk, or uses the Service in a way that could harm the Service or others. When reasonably practicable, we will provide notice and an opportunity to cure before suspension. We may terminate the agreement for an uncured material breach or as otherwise permitted by law. Upon termination, Customer's right to use the Service ends. Before closure, Customer should use available export or deletion controls and contact support about information it needs. We do not promise indefinite access or retention after closure. Information may be retained or deleted as described in the Privacy Policy. Sections that by their nature should survive termination—including payment obligations, ownership, disclaimers, liability limits, indemnification, and general terms—will survive.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ESCAPE DIRECTOR DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR CUSTOMER'S PARTICULAR OPERATIONS.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCAPE DIRECTOR'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES CUSTOMER PAID ESCAPE DIRECTOR FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100. These limitations apply to all theories of liability and do not apply to liability that cannot legally be limited. Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply.
18. Indemnification
To the extent permitted by law, Customer will defend, indemnify, and hold harmless Escape Director and its officers, directors, employees, and agents from third-party claims, damages, losses, and reasonable expenses, including attorneys' fees, arising from Customer Content, Customer's unlawful operation of its business or treatment of players or personnel, or Customer's material violation of these Terms. We will provide reasonable notice of a covered claim and allow Customer to control the defense, provided Customer may not settle a claim in a way that admits fault by or imposes an obligation on Escape Director without our written consent.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service must be brought in a state or federal court of competent jurisdiction located in Maryland, and each party consents to that court's personal jurisdiction and venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20. Export and Sanctions Compliance
Customer may not access or use the Service in violation of United States export-control or economic-sanctions laws. Customer represents that it is not prohibited from receiving the Service under applicable law and will not make the Service available to a prohibited person or for a prohibited end use.
21. Changes to These Terms
We may update these Terms as the Service and applicable requirements change. We will revise the Effective Date and provide reasonable additional notice of material changes, such as by email or within the Service. Material changes will apply prospectively. If a change materially increases Customer's obligations during a current prepaid period, Customer may stop using and cancel the Service before the change takes effect. Continued use after the effective date constitutes acceptance where permitted by law.
22. General Terms
These Terms, the Privacy Policy, the checkout terms, and any separate written agreement expressly incorporated by reference are the entire agreement concerning the Service and replace prior discussions about their subject matter. If there is a conflict, a separately signed agreement controls, followed by checkout terms, these Terms, and the Privacy Policy, except that a Data Processing Addendum controls for its subject matter. Customer may not assign these Terms without our written consent, except in connection with a merger or sale of substantially all of Customer's assets if the assignee is not our direct competitor and agrees to these Terms. We may assign these Terms in connection with a reorganization, merger, acquisition, or sale of our business or assets. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only as much as necessary and the rest will remain effective. The parties are independent contractors, and these Terms create no partnership, agency, employment, or third-party beneficiary relationship.
